Hi,

Based on a quick phonecall with Roger, I have knocked up this draft Memorandum of Understanding to act as a *friendly* statement of support for a joint steering group for our ongoing projects with Monmouth Council. I am sure the wording is not spot on, so please add any corrections or improvements you see fit. It is *not a contract or a financial agreement*, just an understanding to avoid confusion.

The intention is to have a piece of paper to be able to sign on Saturday. This will be good PR and knocking this out speedily does not mean we or the Council cannot radically re-write, withdraw or correct it later on, a fact that Roger and I will make sure the Council understand at the time.

It would be a good idea for the right Council people to cast an eye on this before Saturday, I'm sure Roger or John will coordinate.

PS my laptop still has a memory fault, so I will be unlikely to be able look at this again tomorrow or on Saturday when I'm away from my desktop.

By the way, please don't email me back comments - I'm never going to
deal with them in time. Please go ahead, be bold, and edit the
document directly.

PS Being an agreement, albeit a friendly one, I have not put this up
on the public Wiki, please don't do that until the Council have agreed
a version.

    Please keep in mind that this is a project MOU, not a contract. There
    is no financial commitment and the stuff about brand and trademarks is
    summarised here but is not a trademark or joint branding agreement,
    such matters are elsewhere. The MonmouthpediA Steering Group are free
    to revise it as a working document setting the principles of how our
    organizations want to work together, in my opinion it does not need
    board agreement, and in practise almost none of our working
    partnerships has any definition such as this (compare with the British
    Library who would probably never get around to signing such a
    document, and yet they are hosting GLAMwiki which is worth £6,000 or
    more to us, an agreement that I failed to have delegated authority to
    make). At the moment, for simplicity, it does not unambiguously cover
    John Cummings' employment though this really does need a definition at
    this level.

    As a favour, Roger asked me for a draft document in a rush today as he
    has run out of time, and would like something to sign on Saturday for
    the cameras. From our track record on these things in the past I
    estimate one or two more weeks before we would agree this as a board,
    this may take even longer for MCC to process. I am happy to consider
    signing a "blank" sheet of paper for the cameras on Saturday, or a
    first draft version in principle, with the common understanding that
    the Steering Group will agree a final version in a couple of weeks,
    giving our trustees time properly to reflect on its content. I would
    be happy to explain that clearly to MCC representatives on Saturday.

    In the past I have signed significant agreements by using a separate
    signature sheet on a similar basis, where the underpinning document
    was subject to outstanding change requests, the change process itself
    ensures you are not out of control as if the changes fail to be
    implemented then the document is not fit for purpose. As this is a
    friendly understanding, not an agreement, this is even simpler, we
    just ask for improvements.

    FYI, I am affected by the untimely and unexpected death of my niece
    this week, so I may limit my replies to correspondence for the next
    few days and will try to defer any difficult negotiations that may
    require all of me to be in focus.

I think this is a really helpful and suitably relaxed document for such circumstances. Not a contract, doesn't need to be. Well done. Should be shared with other chapters in due course.
