Minor revisions

Just a few minor revisions:

1)

"ACTION: AT to check the requirements for witnesses to the board members signatures to this document."

Technically it's the initial members (subscribers) who sign the M&A rather than the initial directors, who sign the Form 10 (unwitnessed). Could we change to:

"ACTION: AT to check the requirements for witnesses to the subscribers' signatures to this document."

2)

"It was decided that a quorum on the Board of Directors would be two, or half the number of Directors, whichever is the greater."

I understood it to be:

"It was decided that a quorum on the Board of Directors would be two, or a majority of the number of Directors, whichever is the greater."

This is what I've written into the Articles that were sent to ChapCom. The difference being, if, say, there were six Directors the quorum would be at least Four, rather than at least Three.

3)

"Advice received by KTC suggested that it would not be permissible to delegate powers to members who are not directors, so the section was not altered."

Should that be "Advice received by TH...
